Business Review

Like everyone I speak to, the summer was predictably quiet and although we signed up some really interesting new clients and did some great deals, the level of activity was lower than usual. Since the end of the summer, the level of good enquiries has rocketed up – thanks to all my brokers and other introducers!

However, I think we have shared a similar experience to others – namely an all round reluctance on the part of potential prospects to commit.

I put this down to genuine and understandable fear and uncertainty at both the micro and macro level – better to do nothing than to make a wrong decision.

Our strategy for this economic climate – let’s work together!

My view is that if a business is reluctant to commit there is not much anyone can do to change that and it may well be the right strategy anyway. However, not committing need not be the same as doing nothing.

As I think you are all aware our single invoice factoring product can work very well in an uncertain marketplace because of the fact that the client makes no commitment

I think we can use this to everyone’s advantage. Why not think of single invoice factoring as a safe way to help your potential clients to dip their toe in the water without having to make a decision which is later regretted? Once that client has experienced the benefits of factoring as a concept there is a good chance they will want to talk to you about moving to a full factoring facility.

So if you are a funder or a broker working with other funders, let’s talk about ways of working together. We can get your prospects started using single invoice factoring while they make up their minds about committing to your full factoring offer.

Case Study

A business supplying the construction industry was turning down business for fear of being unable to finance the upfront purchases needed to start the work. Catalyst agreed to open a facility which potentially gave him around £150k line of credit. As a result of having access to cash at short notice, this client was;

a) able to negotiate improved terms with suppliers by ordering in larger quantities and paying up front and

b) was able to take on profitable business which he would otherwise have turned down.

Most of our factoring cost was covered by the supply discounts he was able to negotiate and the ability to expand has turned the business round from break-even static to profitable growth. If things carry on as they are, his need for factoring will reduce and he has the comfort of knowing that he can stop using our service any time he wants to

Here at Catalyst we have become quite specialised (and quite good) at Single Invoice Factoring. In fact in July we completed our fastest deal for an existing client. The invoice was submitted for funding at 11.30am and cash was in the client’s account at 2.00pm the same day. So that’s our new target –2½ hours from start to finish!

Recent Case Study

A Company in Exeter with a long history and good client base had run into difficulties. The bank was supportive to a degree but the account had been transferred to “special measures”. The business was struggling to recover and was being starved of cash. The bank could not extend more facilities and frequent returned direct debits and bounced cheques were incurring massive fees and unauthorised overdraft charges.
After a short review we were satisfied that the business was not only fundamentally sound but had a great customer list and strong customer relationships. All our “one-off” agreements were put in place within a few days but there was a delay before we could actually start helping while the bank looked at its position. Clearly we couldn’t do anything without a debenture waiver from them.Once the waiver had been granted we moved very quickly and started buying invoices within a couple of days.

We now hold more than £200k of high quality invoices at any one time and will continue to support the business for the foreseeable future.

The Company’s FD commented: “Catalyst IFG’s Single Invoice Factoring product has proved to be a really helpful and flexible solution giving us the breathing space we needed to tackle the internal issues. Weymouth launch of GreenMotion charging stations

Catalyst Venture Partners (CVP) has signed an exclusive agreement to advise Green Motion (UK) Limited on its entry into the rapidly growing UK market for electric vehicle charging infrastructure.

Richard TurnerIn the past few months we at Catalyst have become increasingly frustrated by the number of good businesses and business projects that have been unable to raise finance. The venture capital community and the banks have raised the bar on returns and risk aversion to the point where only blue chip projects and companies can get funding.

In our search for new funds we have developed a relationship with a Japanese based group that seeks to access Japanese savings from individuals and companies to provide long term loans to companies and development projects. These funds are provided as a type of Bond which typically carries an 11% interest rate payable quarterly in arrears. The capital is repayable after five years.
Security is a debenture against the company not assets so it is effectively a form of cash flow lending. This product offers a great source of funding for established companies wishing to invest in projects with a hurdle rate of interest of about 20%, and for early stage companies who have contract backed revenue sources such as energy and recycling companies. It can also be used for property development and finance companies.

The main benefit is that the funds can help your business to grow and we are pleased that we can offer an effective, alternative way of raising finance.

Catalyst is pleased to announce a partnership with a Japanese based financial group that is able to create structures to raise new loan funds for business projects in the UK.

The Japanese / UK consortium offers the opportunity for private and professional investors in Asia to participate in, and benefit from, the development of new projects and the expansion of existing businesses in the UK and mainland Europe.

The deal comes after a concerted effort on Catalyst’s part to find new sources of capital finance for UK growth companies that are struggling in the current economic climate to access traditional sources of loan finance from banks and other institutions.

Richard Turner from Catalyst Venture Partners said of the deal; “Raising funding to support business growth and development of companies in UK and Europe has never been harder. By tapping into Asia, one of the biggest investment markets in the world, we are able to substantially increase the flow of funds and finance companies and projects that would otherwise not get financed.”

The minimum size of Bond is £2.5m. There is no maximum.

The key point about the financial structures created are:

• Effectively they are a type of bond, therefore fund raising involves no equity dilution;
• The Bond is secured against the company not individual assets;
• interest rate of between 8.5% and 11% paid quarterly in arrears;
• Loan repayment at the end of five years or sooner;

We will consider companies from any sector but specifically interested in:

• Energy including Solar and Wind;
• Recycling;
• Property development and infrastructure;
• Finance;
• Media, Healthcare, and Technology companies with a strong trading history.

Companies must be able to demonstrate:

• Strong corporate governance
• Good management team
• Trading history
• Strong financials
• Profitability

There are a number of options available when seeking venture capital finance and we make it our mission to find the solution that fits. One of the options for finance is our Investor Director Programme – set up to provide a framework for companies to raise the finance that they need as well as strengthening their management teams with the expertise and experience of the Investors themselves.

Catalyst provides Investor Directors (ID’s) to early stage companies. Currently the Catalyst database has over 3000 individuals with industry experience ranging from medical devices to the Oil industry.  These ID’s are highly qualified and willing to invest in fast growth early stage companies. Typically ID’s are successful business people who want to diversify their own investment portfolio and are seeking opportunities to work with early stage companies where they can use their expertise, have some influence on the strategy and operation of the company and generally make a difference.

The origins of the programme lie in Catalyst’s experience of building early stage companies. We recognised that the right Chairman/Non Executive Directors can have a transformative effect on early stage companies: they can open up opportunities, prevent obvious strategic and operational errors, and catalyse change. The ID programme currently has a 100% success rate in providing ID’s because only qualifying companies are accepted.  To qualify companies must have:

• an addressable worldwide market in excess of $1billion per annum and/or an addressable UK market in excess of £100 million per annum

• a scalable business model

• a core management team with an entrepreneurial driver

• a defensible competitive advantage

• ambitions to achieve revenues in excess of £5 million per annum at the end of a four year plan

• proof of customer acceptance

• willingness to accept change

 

Getting an ID – The Process

We have a three step process:

Step 1 – We review the company’s business plan and work with them to ensure that they meet the qualifications and are communicating the message appropriately. With the management team we identify the ideal profile of individuals required. This may be a Chairman with a good industry contact list, sales and marketing specialist, technical/operational expert; or a financial director.

Step 2 – We solicit interest from members of the programme by circulating an anonymous profile of the company. Interested members are then contacted to ensure that they meet the profile and then an executive summary is sent to them to allow them to better gauge their interest. Selected individuals are then sent a copy of the business plan under an NDA. Meetings are then arranged with the company and offers are invited from both sides to establish an agreement in principle.

Step 3 – Having established a heads of agreement we then help to close the deal. This can involve a  range of tasks from providing guidance on suitable tax and legal advisers to appropriate service agreements.

Richard TurnerI attended an interesting two day workshop sponsored by SouthWest Screen at the end of May. Speakers included Luke Johnson and Will Hutton. There were a lot of interesting folk from the industry  and those charged with helping the industry develop.

The objective was to identify barriers to developing  growth businesses in the creative industries. We spent a bit of time agonising over the meaning of the term creative industries before agreeing that what we were really talking about is creative digital media companies.  In practice this covers amongst others computer games, internet apps, smart phone apps and broadcast media across multiple platforms.  The general view was that it was very difficult to attract investment.  Many companies seemed to either lack ambition, the management,  or the business model to attract investment.

We have formed a group to look at the key issues companies face. I would like the group to get a really detailed understanding amongst other areas of :

  • Which sectors attract investment and why?
  • Which business models attract investment and why?
  • What are the returns an investor is seeking and over what time frame?
  • What cultural issues need to be addressed?

My suspicion having looked at many businesses in this space is that investors think that many companies have a “binary” business model i.e. if it works then you make a lot of money and if it fails then you lose everything.

In addition the intellectual property embedded in these businesses does not have multiple routes to market so cannot benefit from a portfolio approach. Plus the return early stage investors expect i.e. 10 times money over five years either cannot be achieved or that the culture of the company is not focussed around achieving exit but rather fulfilling creative ambitions.
